This Shopify Website Revamp & Custom Lash Tray Design Agreement ("Agreement") is entered into between CaiBrands LLC, owned and operated by Caila Moorer ("Designer"), and Miesha Sands ("Client").

By electronically signing this Agreement, submitting payment, approving an invoice or proposal, or otherwise engaging CaiBrands LLC for the services described below, the Client acknowledges that she has read, understands, and agrees to the terms of this Agreement.

Shopify Website Revamp + Two (2) Custom Lash Tray Designs with Mockups

Project Investment

The Client is receiving a total project discount of $350.00 from the regular combined project value of $1,400.00.

This discounted pricing applies only to this Agreement and does not establish pricing for future services.

1. Payment Terms

The Client agrees to pay 100% of the project total ($1,050.00 USD) before work begins unless another payment arrangement has been approved by CaiBrands LLC in writing.

No design, development, planning, strategy, consultation, or production work will begin until the required payment and project information have been received.

Payments reserve production time and are final, non-refundable, and non-transferable except where otherwise required by applicable law.

2. Shopify Website Revamp

CaiBrands LLC will revamp the Client's existing Shopify website using the Client's current store, products, content, branding, theme, and available assets.

The website revamp may include:

• Homepage redesign and visual improvements
• Mobile and desktop optimization
• Navigation and menu improvements
• Brand colors and typography updates
• Product and collection presentation improvements
• Website section organization
• Header and footer styling
• Promotional and announcement section styling
• User experience improvements
• Basic Shopify theme customization
• General website cleanup and modernization

3. Lash Tray Design #1

The Client will receive one custom lash tray packaging design and one corresponding digital presentation mockup.

Project Allocation: $275.00

4. Lash Tray Design #2

The Client will receive one additional custom lash tray packaging design and one corresponding digital presentation mockup.

Project Allocation: $275.00

5. Mockups & Manufacturing

Mockups are digital visual representations of how the packaging may appear when produced.

Physical printing, manufacturing, shipping, physical samples, and manufacturer fees are not included unless separately agreed to in writing.

Colors, materials, sizing, foil, finishes, cuts, and other physical production results may vary from the digital mockup.

The Client is responsible for supplying manufacturer dimensions, dielines, templates, or production requirements when needed.

6. Client Responsibilities

The Client agrees to provide:

• Shopify access
• Logo and branding materials
• Website images and content
• Product and collection information when required
• Website wording and promotional information
• Exact wording required on lash tray packaging
• Manufacturer templates or measurements when available
• Design inspiration and creative direction
• Timely feedback and approvals

The Client is responsible for proofreading and confirming spelling, brand names, website information, product information, social handles, packaging wording, and manufacturer information before final approval.

7. Project Timeline

Any estimated turnaround begins after CaiBrands LLC has received the required payment, signed Agreement, completed design questionnaire, necessary Shopify access, and all required project materials.

Business days exclude weekends and holidays.

Production timelines may be extended due to missing content, delayed Client responses, revisions, scope changes, Shopify issues, manufacturer requirements, or circumstances outside the Designer's reasonable control.

8. Revisions

Reasonable revisions that refine the original agreed creative direction are included.

Requests that substantially change an approved direction, require a complete redesign, add additional packaging concepts, add new website pages, add substantial functionality, or otherwise expand the original scope may require an additional fee.

CaiBrands LLC reserves the right to determine whether a request constitutes a revision or additional work.

9. Additional Services

Services not specifically included in this Agreement are considered outside the project scope and may require a separate quote.

Examples include:

• Additional lash tray concepts
• Additional mockups
• Logo redesign
• Full branding services
• Additional Shopify pages
• Large-scale product uploads
• Advanced custom development
• Copywriting
• Printing or manufacturing
• Paid Shopify themes or applications

10. Third-Party Expenses

Shopify plans, premium themes, applications, domains, fonts, stock assets, manufacturers, printing, subscriptions, shipping, and other third-party expenses are not included in the $1,050 project investment unless specifically stated otherwise in writing.

11. All Sales Final

Because the services are customized specifically for the Client and require reserved production time, creative labor, development, planning, strategy, and project management, payments are final and non-refundable except where otherwise required by applicable law.

A change of mind, change in business direction, decision not to launch, or subjective preference change does not automatically create a right to a refund.

12. Creative Direction & Satisfaction

Graphic design and website design are subjective, collaborative creative services.

Reasonable revisions are intended to refine the originally submitted and approved direction.

A request for an entirely different concept after work has been developed may be treated as additional work.

13. Project Pause, Restart & Abandonment

If the Client substantially delays or pauses the project after production begins, CaiBrands LLC may remove the project from the active production schedule.

A restart fee equal to 20% of the original project investment may be required to reopen a paused or inactive project.

If the Client remains unresponsive for 14 consecutive calendar days, the project may be considered inactive or abandoned.

14. Payment Disputes

Both parties agree to attempt to resolve billing or service concerns directly and in good faith.

The Client agrees not to knowingly misrepresent services that have been partially or fully performed when communicating with a bank, payment processor, card issuer, or other financial institution.

CaiBrands LLC may provide this signed Agreement, communications, invoices, project drafts, approvals, website records, and completed work as documentation in response to a payment dispute.

15. Website Performance Disclaimer

CaiBrands LLC does not guarantee specific sales, revenue, conversion rates, SEO rankings, website traffic, advertising performance, social media growth, or other business results.

16. Shopify & Third-Party Platforms

Shopify and third-party themes, applications, integrations, payment processors, manufacturers, shipping providers, and similar services operate independently of CaiBrands LLC.

CaiBrands LLC is not responsible for future changes, outages, policy changes, failures, or incompatibilities caused by those third parties.

17. Intellectual Property

Custom designs, layouts, concepts, graphics, and project materials remain the property of CaiBrands LLC until the project has been paid in full.

Upon full payment, the Client receives rights to use the approved final deliverables for the Client's business, excluding third-party materials governed by separate licenses.

Rejected concepts, unused concepts, preliminary work, working files, and development materials remain the property of CaiBrands LLC unless otherwise agreed in writing.

CaiBrands LLC reserves the right to display completed work in portfolios, websites, social media, advertisements, educational materials, and marketing unless otherwise agreed in writing.

18. Final Approval

The Client is responsible for reviewing the website and packaging designs for accuracy before final approval.

Changes requested after final approval or completion may require an additional fee.

19. Limitation of Liability

To the fullest extent permitted by applicable law, CaiBrands LLC will not be responsible for indirect losses caused by Shopify, manufacturers, payment processors, third-party applications, hosting providers, shipping providers, Client modifications, or other third-party services.

To the extent permitted by law, CaiBrands LLC's total liability arising from this Agreement will not exceed the amount actually paid by the Client under this Agreement.

20. Acceptance

By signing below, the Client confirms that she has read this Agreement, understands the $1,400 regular project value, accepts the discounted $1,050 project investment, understands the services included, and agrees to the terms above.
